AGREEMENT TO OUR LEGAL TERMS

We are Hapticware Intelligence Private Limited, doing business as Hapticware ("Company," "we," "us," "our"), a company registered in India at D-401, Vidharbha No. II Co-op Housing Society, Kondhwa, NIBM Road, Pune, Maharashtra 411048.

We operate the website https://www.hapticware.ai (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement between you and Hapticware Intelligence Private Limited concerning your access to and use of the Services. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU MUST DISCONTINUE USE.

INTELLECTUAL PROPERTY RIGHTS

The content, organization, graphics, design, compilation, magnetic translation, digital conversion, and other matters related to the Services are protected under applicable copyrights, trademarks, and other proprietary rights. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as follows:

USER REPRESENTATIONS

You will not use the Services for any illegal or unauthorized purpose.

Impersonating or attempting to impersonate Hapticware, a Hapticware employee, another user, or any other person or entity.
Engaging in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Hapticware or users of the Services or expose them to liability.

USER GENERATED CONTRIBUTIONS

The Services may contain features that allow users to submit, post, or otherwise transmit content, including but not limited to text, writings, video, audio, photographs, graphics, code, or other material (collectively, "User Contributions").

By making User Contributions, you grant Hapticware a non-exclusive, worldwide, royalty-free, perpetual, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Contributions throughout the world in any media.

You represent and warrant that:

You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us.
All of your User Contributions do and will comply with these Legal Terms.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Hapticware, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

CONTRIBUTION LICENSE

By submitting content to Hapticware for inclusion on the Site or through the Services, you grant Hapticware a worldwide, perpetual, irrevocable, royalty-free, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that:

You own or control all rights in and to the content you submit and have the right to grant the license granted above to Hapticware.
All of your content does and will comply with these Legal Terms.

Hapticware reserves the right to remove or modify any content submitted by you that, in its sole discretion, violates these Legal Terms or is otherwise objectionable.

THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites or resources. You acknowledge and agree that Hapticware does not endorse and is not responsible or liable for:

The availability or accuracy of such websites or resources;
The content, advertising, or products on or available from such websites or resources;
Any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such websites or resources.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or resources that you visit.

SERVICES MANAGEMENT

We reserve the right, but not the obligation, to monitor, review, and remove or edit any User Contributions or other content that we determine in our sole discretion violates these Legal Terms or is otherwise objectionable.

We also reserve the right to:

Terminate or suspend your access to the Services, in whole or in part, at any time and without notice, for any conduct that we believe violates these Legal Terms or is harmful to other users of the Services, us, or third parties, or for any other reason.

GOVERNING LAW

These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or related to these Legal Terms or your use of the Services shall be brought exclusively in the courts located in Pune, Maharashtra, India. You consent to the jurisdiction of such courts and waive any objection as to venue or inconvenient forum.

DISPUTE RESOLUTION

In the event of any dispute, claim, or controversy arising out of or relating to these Legal Terms or the Services (a "Dispute"), the parties shall attempt to resolve the Dispute through good faith negotiations.

If the Dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the Dispute to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The arbitration shall be conducted in Pune, Maharashtra, India, in the English language, by a sole arbitrator appointed by mutual agreement of the parties or, failing such agreement, by the Indian Council of Arbitration.

The award rendered by the arbitrator shall be final and binding on the parties. Each party shall bear its own costs and expenses of arbitration, unless the arbitrator determines otherwise.

CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time without prior notice.

However, please note that such errors, inaccuracies, or omissions may relate to product description, pricing, and availability. Therefore, we reserve the right to cancel or refuse any order placed for a product with an incorrect price or availability information. In such cases, we will notify you by contacting the email address or phone number provided at the time of order placement.

DISCLAIMER

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Hapticware, its subsidiaries, affiliates, and its licensors do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

LIMITATIONS OF LIABILITY

To the fullest extent permitted by applicable law, in no event shall Hapticware, its affiliates, directors, officers, employees, agents, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Services, any content on the Services, or any services or items obtained through the Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

To the extent that applicable law does not allow the exclusion or limitation of liability for consequential or incidental damages, the liability of Hapticware shall be limited to the maximum extent permitted by law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Hapticware, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Legal Terms or your use of the Services, including, but not limited to, any User Contributions, any use of the Services' content, services, and products other than as expressly authorized in these Legal Terms, or your use of any information obtained from the Services.

USER DATA

We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services, as well as data relating to your use of the Services. Although we perform regular backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Services.

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.

If any provision of these Legal Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Legal Terms shall remain in full force and effect.

No waiver of any term of these Legal Terms shall be deemed a further or continuing waiver of such term or any other term, and any failure of Hapticware to assert a right or provision under these Legal Terms shall not constitute a waiver of such right or provision.

These Legal Terms do not create or imply any partnership, joint venture, agency, or employment relationship between you and Hapticware.
